Brokerage Services for Sellers and Buyers

Most of our clients come to us for one of two reasons: they want to sell a business they built, or they want to buy one that already works. Our record includes over $5 million in businesses sold, and the work behind it spans business valuation, exit planning, franchise resales, business and property sales, partner buyouts and succession, and mergers and acquisitions. Buyers can lean on our acquisition financing guidance when lenders ask hard questions. Each service is handled at our office or by phone and video, at a pace that suits the deal.

About Liberty Hill Business Broker

Our firm represents people who own private companies, from single-location shops to established firms with a full staff, along with the buyers ready to step in and run them. Our clients run service companies, retail shops, restaurants, trades and franchises, and many have spent decades building what they are now ready to hand on.

We work carefully and keep records of everything. A seller should be able to look back at any point and see what we reviewed, what we recommended and what happened next. Buyers get the same clarity about the businesses they are considering, which tends to make deals steadier and closings smoother.

What Shapes a Valuation and a Sale Price

No two private businesses are valued the same way. Buyers and their lenders look closely at a handful of things, and each one can move the price up or down. Knowing them early gives you time to strengthen the ones you can control.

Your valuation is free and confidential, and our fee is paid only when your sale closes. We explain how that fee works on the first call, before you sign anything.

Earnings and how well they are documented
Buyers pay for reliable cash flow. Clean tax returns, matching profit and loss statements and clear owner add-backs make earnings easier to verify and easier to finance.
How much the business depends on you
When every key customer relationship and decision sits with the owner, a buyer worries about what walks out the door when you do. Staff who can run the day without you, along with procedures that are written down, usually support a stronger price.
Lease terms or owned real estate
A short or unassignable lease can stall a deal. When the building is part of the sale, the property is valued alongside the business and the financing changes with it.
Equipment, inventory and condition
Well-kept equipment and accurate inventory counts hold value. Aging assets that will need replacing soon are factored into what a buyer will offer.
Buyer demand and available financing
Some industries draw many qualified buyers, others only a few. Whether a buyer can finance the purchase through a lender, seller financing or both often decides the final number.

How We Work With You

A business sale involves a lot of paper and a lot of trust. We keep both visible, so you always know where things stand and why.

You see what we found
After we review your financials, lease and equipment, we give you a written summary of what stood out, good and bad. Where it helps a buyer understand the business, we photograph the premises, inventory and equipment for the confidential listing package, and you approve every image before it is used.
Nothing up front, no retainers
Putting your business on the market with us costs you nothing at the start. We earn our fee from the sale proceeds at closing, and if the business never sells, you owe us nothing at all. There is no retainer to sign and no charge tucked into the fine print.
Confidentiality built into the process
Your business name stays out of public listings. Buyers sign a confidentiality agreement and share their background with us before they see anything that could identify you, your staff or your customers.
Registered buyers see listings first
New listings go to registered buyers first. That gives sellers a pool of people who have already told us what they want and how they plan to pay, and it gives buyers an early look before a listing is marketed more widely.
An honest read on value
If the numbers point to a lower price than you hoped, we say so and show the reasons. Sometimes the better advice is to spend a year on exit planning before going to market.

How a Sale Runs With Us

Every deal has its own timing, but the steps follow the same order. You get a written update as each one is finished.

  1. 1

    A confidential first conversation

We talk through your business, your goals and your timeline by phone, video or at our office. No documents are needed yet.

  2. 2

    Valuation and written findings

We review three or more years of financials, your lease and your major assets, then give you a valuation with the reasoning behind it and a short list of anything that may concern a buyer.

  3. 3

    The listing package

We write a confidential profile of the business and photograph what a buyer needs to see, such as the space, equipment and inventory. You review every page and photo before release.

  4. 4

    Qualified buyers and offers

Registered buyers see the listing first. We screen each one, share documents only after confidentiality agreements are signed, and lay out every offer side by side so terms are easy to compare.

  5. 5

    Due diligence and closing

We coordinate with the buyer, lenders, landlords and your attorney and accountant, tracking each open item in writing until the deal closes.

Questions Owners and Buyers Ask Us

How much is my business worth?

It depends mostly on verified earnings, how much the business relies on you, your lease or property and what buyers in your industry are paying. We give you a free, confidential valuation with the reasoning written out, so you can see how we reached the number and what might change it.

What does it cost to list my business?

Listing costs you nothing at the start. Our fee is earned at closing, out of the sale proceeds, and nothing is owed if the business does not sell. We go over exactly how the fee is figured on the first call, so the closing statement holds no surprises.

Will my employees or customers find out I am selling?

We keep your identity out of the marketing entirely. Our advertised profiles describe the type of business and its numbers without giving its name or location. Before anything identifying changes hands, a buyer must sign a confidentiality agreement and tell us about their background. We also work out with you when and how to tell your staff, which usually happens near the end of the deal.

How long does it take to sell a business?

It varies with the size of the business, how organized the records are and how buyers will finance the purchase. Owners with clean books and a solid lease tend to move faster. We give you a realistic timeline after the valuation, not before.

I want to buy a business. How do I see your listings?

Register as a buyer by phone. We ask what kind of business you want, where, and how you plan to pay for it. New listings go to registered buyers first, so you hear about a fit before it is marketed widely.

Can a buyer get financing for the purchase?

Often, yes. Many acquisitions combine a lender loan, a buyer down payment and some seller financing. Our acquisition financing guidance helps buyers prepare what lenders ask for and helps sellers understand which offers are likely to close.

I own the building my business is in. Can you sell both?

Yes. Our business and property sales service handles the business and the real estate together, or keeps the property and arranges a lease to the buyer. We look at both options with you before listing.
